Acceptance and Contract Structure
By accessing or using Shieldify IP websites, case intake forms, support pages, platform login pages, or related services, you agree to these Terms of Service. If you use the services on behalf of a company, brand owner, law firm, agency, or other organization, you confirm that you are authorized to bind that organization to these Terms.
If Shieldify IP and your organization have entered into a separate master services agreement, statement of work, order form, onboarding document, or similar written contract, that more specific agreement will control with respect to the paid services and any conflict with these Terms.
Defined Terms
Services
The websites, intake workflows, reporting support, documentation, platform access pages, case handling processes, and related brand protection and online IP enforcement support made available by Shieldify IP.
Client
The organization, rights holder, representative, or other business user receiving or requesting Services, including any authorized personnel acting on its behalf.
Submitted Materials
Any information, URLs, screenshots, rights records, ownership documents, complaint narratives, instructions, evidence, attachments, or related materials provided to Shieldify IP.
Platforms
Third-party websites, marketplaces, registrars, social networks, hosts, payment providers, app stores, and other intermediaries relevant to a complaint, investigation, or enforcement action.
Scope of Services
Shieldify IP provides online brand protection and intellectual property enforcement support across digital channels. The exact services available to a client may vary by platform, rights category, jurisdiction, evidence quality, and commercial scope.
- Website access, resources, documentation, platform login pages, and related support content
- Case intake, triage, evidence review, reporting workflows, and platform-specific complaint preparation
- Monitoring, repeat-offender handling, escalation support, and operational communications with authorized client contacts
- Onboarding, training, implementation support, and service administration linked to brand protection engagements
Service Methodology and Professional Boundaries
Shieldify IP may combine technology, workflow logic, manual review, documentation standards, repeat-offender analysis, platform familiarity, and third-party service infrastructure to deliver the Services. The specific operational approach may change over time as platforms, abuse patterns, and enforcement requirements evolve.
Unless expressly stated in a separate written engagement, Shieldify IP is not agreeing through this website alone to provide legal representation, legal opinions, litigation strategy, or jurisdiction-specific legal advice. Clients remain responsible for obtaining counsel where legal advice, courtroom action, or contested ownership analysis is required.
Client Responsibilities
Successful enforcement depends on accurate, supportable, and current client inputs. You remain responsible for the legality and accuracy of the rights claims and instructions supplied to Shieldify IP.
- Provide accurate, current, and complete information, including rights ownership, authorization, and business identity details
- Submit only lawful, supportable complaints and evidence, and respond promptly to requests for clarification or supplemental documents
- Maintain the validity of rights claims, registrations, authorizations, and reporting instructions throughout the engagement
- Ensure that any third-party personal data or content provided to Shieldify IP is supplied on a lawful basis and is relevant to the matter
- Protect account credentials, login links, and access granted to portals, dashboards, or reporting environments
- Review drafts, outputs, and escalation choices where client approval or business judgment is required
Cooperation, Evidence Preservation, and Records
Brand protection work is iterative. Clients are expected to cooperate in good faith, preserve relevant records, and support reasonable follow-up requests so cases can be documented, escalated, and defended where necessary.
- Timely review of drafts, escalations, and follow-up requests when client approval or commercial judgment is needed
- Maintenance of current internal contact points for legal, brand protection, compliance, and operational stakeholders
- Preservation of ownership records, authorizations, screenshots, complaint IDs, and related evidence while a matter remains active or under review
- Prompt notice to Shieldify IP if ownership status, agent authority, seller whitelists, or reporting instructions materially change
Accuracy, Authority, and Legal Position
Shieldify IP relies on the information, authorizations, and evidentiary materials provided by clients and approved representatives. You are responsible for ensuring that submitted rights assertions are truthful, legally supportable, and appropriate for the jurisdiction, platform, and rights type involved.
Important: False, misleading, stale, or incomplete submissions may delay enforcement, weaken platform credibility, expose the reporting party to counterclaims, or result in suspension of service access. Complex disputes, ownership challenges, or litigation-sensitive matters should be reviewed with qualified counsel.
Platform and Third-Party Dependencies
Shieldify IP does not control the rules, policies, enforcement standards, appeals systems, or final decisions of third-party platforms and intermediaries.
- Platform operators, registrars, hosts, marketplaces, social networks, and payment or content intermediaries make their own enforcement decisions.
- Detection and monitoring workflows reduce risk, but they do not guarantee that all infringing content, sellers, domains, or impersonation incidents will be found.
- Response times, removal timing, and escalation paths depend on platform rules, evidence quality, repeat-offender history, regional processes, and external dependencies.
- Unless expressly stated in a separate written engagement, website content and standard service materials are provided for operational and informational use and do not by themselves create an attorney-client relationship.
Acceptable Use and Restricted Conduct
You may not use Shieldify IP websites, portals, or workflows in a way that creates legal, reputational, operational, or cybersecurity risk.
- Submitting false, misleading, bad-faith, retaliatory, or unauthorized infringement complaints
- Misusing the website, portal access, reporting pathways, or support materials for unlawful or non-approved purposes
- Attempting to scrape, reverse engineer, copy, disrupt, probe, or bypass security for any Shieldify IP environment
- Using robots, bots, bulk extraction tools, or automated methods against the website or service environments without written permission
- Sharing credentials with unauthorized users or permitting access outside your approved internal or agency team
- Removing proprietary notices, misrepresenting affiliation with Shieldify IP, or implying endorsement where none exists
Accounts, Credentials, and Security
If Shieldify IP provides you with credentials or access to platform login pages, portals, dashboards, or case tools, you are responsible for maintaining credential security, limiting use to authorized personnel, and notifying Shieldify IP promptly if you suspect compromise, unauthorized access, or misuse. Shieldify IP may monitor, restrict, or suspend access where reasonably necessary for security, compliance, or service integrity.
Commercial Terms, Fees, and Service Changes
Pricing, payment terms, implementation scope, service levels, billing cycles, pilots, and renewal mechanics are governed by the applicable commercial agreement rather than this public page unless expressly stated otherwise. Shieldify IP may modify, improve, suspend, or discontinue parts of the website, tools, or workflows where required for legal, operational, security, or product reasons.
Third-Party Websites, Links, and External Tools
Shieldify IP websites may include links to third-party platforms, login pages, registrars, social networks, marketplaces, documentation resources, or other external services. Those services are operated by third parties and remain subject to their own terms, security measures, privacy notices, and operating rules.
Shieldify IP is not responsible for the availability, legality, content, business practices, or policy changes of third-party services, and linking to them does not by itself constitute endorsement, affiliation, or a guarantee of outcome.
Confidentiality, Data, and Submitted Materials
Shieldify IP handles case information, evidence packages, and communications as part of a professional brand protection workflow. Our handling of personal information is described in the Privacy Policy, and any client-specific data terms or security addenda will apply where relevant.
You retain rights in your trademarks, copyrights, evidence, and submitted materials. You grant Shieldify IP a limited right to host, review, reproduce, adapt, analyze, and transmit those materials as reasonably necessary to deliver the services, document the workflow, interact with platforms, and maintain internal records and audit trails.
Compliance With Law and Client Instructions
You agree to use the Services in compliance with applicable law, contractual duties, platform rules, and internal authorization limits. Shieldify IP may decline or pause work where an instruction appears unlawful, unsupported, inconsistent with platform reporting requirements, outside approved scope, or likely to create disproportionate legal or reputational risk.
Intellectual Property
Shieldify IP retains all rights, title, and interest in the Shieldify IP brand, website content, service materials, workflows, templates, software, documentation, dashboards, and underlying methodologies, except for client materials and other third-party rights. No implied license is granted except as necessary to use the services in accordance with these Terms and any applicable commercial agreement.
Warranty Disclaimer
To the maximum extent permitted by law, the website, documentation, and any publicly available or trial-access service components are provided on an "as is" and "as available" basis. Shieldify IP disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free availability, except to the extent such disclaimers are prohibited by applicable law or superseded by a separate written agreement.
Limitation of Liability
To the maximum extent permitted by law, Shieldify IP will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or revenue-loss damages, or for loss of data, goodwill, opportunities, or business interruption arising out of or related to the website, services, or enforcement outcomes.
Unless a separate written agreement states otherwise, Shieldify IP's total aggregate liability arising out of the relevant services will not exceed the amount paid to Shieldify IP for the specific services giving rise to the claim during the twelve months immediately preceding the event, or, for website-only use without fees, USD 100.
Indemnity
You agree to defend, indemnify, and hold harmless Shieldify IP, its affiliates, and service providers from claims, losses, liabilities, damages, and expenses arising from your unlawful use of the services, inaccurate or unauthorized rights claims, misuse of credentials, violation of these Terms, or infringement of another party's rights by materials or instructions you provide.
Suspension, Termination, and Survival
Shieldify IP may suspend or terminate website access, platform credentials, or service activity where reasonably necessary for security, compliance, legal risk management, payment delinquency, misuse, or operational integrity. Any provisions that by their nature should survive termination, including intellectual property, confidentiality, payment obligations, disclaimers, liability caps, indemnity, and dispute-related provisions, will survive.
Disputes and Governing Framework
Any governing law, venue, arbitration procedure, notice requirement, or claims process set out in an applicable master agreement, order form, or statement of work will control. For website-only use where no separate agreement exists, these Terms will be interpreted in accordance with applicable law and the parties will first attempt to resolve disputes in good faith before pursuing formal remedies.
Force Majeure
Shieldify IP will not be liable for delay, interruption, or failure to perform to the extent caused by events beyond reasonable control, including major platform outages, cyber incidents affecting third-party infrastructure, internet failures, labor disruption, acts of government, war, civil unrest, natural disasters, or abrupt policy changes by relevant intermediaries.
General Contract Provisions
- Failure by Shieldify IP to enforce any provision immediately does not waive its right to enforce that provision later.
- If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
- You may not assign or transfer these Terms, in whole or in part, without Shieldify IP’s prior written consent, except where a written commercial agreement allows it.
- Shieldify IP may assign these Terms or related rights and obligations in connection with a reorganization, merger, sale, financing, or transfer of the business or relevant assets.
Changes to These Terms
Shieldify IP may update these Terms from time to time to reflect changes in law, product design, commercial structure, operational practice, or risk management. The updated version will be posted on this page with a revised effective date. Continued use of the website or services after the effective date of an updated version constitutes acceptance of the revised Terms, unless applicable law requires another form of notice or acceptance.

Unless a separate written agreement specifies another notice method, legal or contractual notices relating to these Terms should be sent to the contact addresses listed below.
